Software License Agreement

IMPORTANT-READ CAREFULLY: This Software License Agreement (hereinafter “Agreement”) is a legal agreement between you (either an individual or a single entity) and Tikitrade, LLC for the software referencing this document, which includes computer software and any associated media, printed materials, and “online” or electronic documentation (hereinafter “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

  1. GRANT OF LICENSE. The Licensor grants to you a non-exclusive, non-transferable license to use the Software for internal purposes only subject to the following conditions:
    a. You may install and use one copy of the Software on a single computer.
    b. You may not modify, adapt, or create derivative works of the Software.
    c. You may not rent, lease, lend, sell, redistribute, sublicense or otherwise commercially exploit the Software.
  2. INTELLECTUAL PROPERTY RIGHTS. The Software is the intellectual property of and is owned by the Licensor. The structure, organization, and code of the Software are the valuable trade secrets and confidential information of the Licensor. The Software is licensed, not sold.
  3. RESTRICTIONS. You must not:
    a. Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software.
    b. Use the Software for any purpose that is unlawful or prohibited by this Agreement.
  4. NO WARRANTIES. The Licensor expressly disclaims any warranty for the Software. The Software and any related documentation is provided “as is” without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or non-infringement.
  5. LIMITATION OF LIABILITY. In no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.
  6. TERMINATION. Without prejudice to any other rights, the Licensor may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of the Software.
  7. GOVERNING LAW. This Agreement shall be governed by the laws of the jurisdiction where the Licensor is located.
  8. COMPLETE AGREEMENT. This Agreement constitutes the entire agreement between you and Tikitrade, LLC concerning its subject matter and supersedes any prior agreements or representations.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND THE LICENSOR WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND THE LICENSOR RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.

There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all which can adversely affect trading results.
